Ticket Pouch LLC Terms of Service

1. AGREEMENT TO TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and ticketpouch LLC, a Delaware limited liability company ("TicketPouch," "we," "us," or "our"), governing your access to and use of the TicketPouch mobile application, website, and related services (collectively, the "Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
We may modify these Terms at any time by posting the revised Terms on our Service. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THE AGREEMENT TO ARBITRATE REQUIRES THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING.
2. DESCRIPTION OF SERVICE
TicketPouch is a ticket organization and management utility application designed to help users locate, organize, and access their event tickets. The Service automatically scans your connected email account(s) for ticket confirmation emails and organizes this information in a centralized, easily accessible format.
TicketPouch is NOT a ticket marketplace, reseller, broker, or vendor. We do not sell, purchase, transfer, or facilitate the sale or transfer of tickets. We do not own, control, or guarantee the validity of any tickets you store or access through the Service. We are solely a utility for organizing ticket information that you already possess.
The Service may include features such as ticket scanning from email, manual ticket import, event reminders, ticket sharing for coordination purposes, and other organizational tools as we may add from time to time.
The Service is supported in part by advertising revenue. By accessing or using the Service, you acknowledge that TicketPouch may display advertisements and that certain data you provide or generate through use of the Service may be used for targeted advertising purposes, subject to the limitations and opt-out rights described in our Privacy Policy. We do not use information obtained from scanning your email account for advertising purposes.
3. ELIGIBILITY
You must be at least 18 years of age, or the age of legal majority in your jurisdiction if different, to use the Service. By using the Service, you represent and warrant that you meet this eligibility requirement and have the legal capacity to enter into these Terms.
If you are using the Service on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
4. ACCOUNT REGISTRATION
To access certain features of the Service, you must create an account. When creating an account, you agree to provide accurate, current, and complete information and to update such information as necessary to maintain its accuracy.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.
You may only maintain one account. Creating multiple accounts, using another person's account, or allowing others to use your account is prohibited and may result in termination of your access to the Service.
5. EMAIL ACCESS AND DATA COLLECTION
To provide the Service, TicketPouch requires access to your email account(s) to scan for ticket confirmation emails. By connecting your email account to the Service, you expressly authorize us to access, read, and process emails in your account for the purpose of identifying and extracting ticket-related information.
We access your email solely for the purpose of identifying ticket confirmations, event details, and related information. We do not read, store, or process emails unrelated to tickets except as necessary to identify and filter ticket-related communications.
Your ticket data and related information are stored securely on Amazon Web Services (AWS) infrastructure. We implement industry-standard security measures to protect your data. Please refer to our Privacy Policy for detailed information about how we collect, use, store, and protect your data. In addition to providing the Service, we may use certain data we collect, such as device identifiers, usage data, and inferred interests, for targeted advertising purposes and may share such data with third-party advertising partners. We do not use information obtained from scanning your emails for advertising purposes. You may opt out of targeted advertising as described in our Privacy Policy.
You have the right to opt out of the sale or sharing of your personal information for targeted advertising at any time. To exercise this right, visit your account settings or contact us at privacy@ticketpouch.com with “Do Not Sell or Share My Personal Information” in the subject line. Exercising this right will not affect your ability to use the Service but may result in less relevant advertisements. Additional privacy rights, including rights under the CCPA, CPRA, GDPR, and applicable state privacy laws, are described in our Privacy Policy, which is incorporated into these Terms by reference.
You may revoke email access at any time through your account settings or by disconnecting your email account from the Service. Revoking access may limit or eliminate certain features of the Service.
6. SUBSCRIPTION AND BILLING
TicketPouch offers both free and paid subscription tiers. The free tier provides access to basic features of the Service. Premium features are available through a paid subscription.
TicketPouch offers a free first year of premium access for new subscribers. Following the initial free year, the annual subscription fee is $9.99 per year. We reserve the right to change our subscription fees at any time upon reasonable notice. Any fee changes will apply to billing periods beginning after the effective date of the change.
Paid subscriptions automatically renew for successive periods of the same duration unless you cancel your subscription before the end of the then-current subscription period. You may cancel your subscription at any time through your account settings. Upon cancellation, you will continue to have access to premium features through the end of your current paid subscription period.
All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law. If you believe you are entitled to a refund, please contact our customer support.
You authorize us to charge your designated payment method for all applicable fees. You are responsible for maintaining valid payment information. If we are unable to process payment, we may suspend or terminate your access to premium features.
7. USER CONTENT
"User Content" includes any tickets, images, information, or other content you upload, import, or otherwise provide to the Service. You retain ownership of your User Content, subject to the license granted below.
By uploading or providing User Content to the Service, you grant TicketPouch a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and process your User Content for the purpose of providing, improving, and personalizing the Service, and for advertising and marketing purposes, including serving targeted advertisements, subject to the limitations described in our Privacy Policy. This license does not extend to the contents of emails scanned through your connected email account, which are used solely for ticket identification and organization.
You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not violate any third-party rights or applicable laws.
8. PROHIBITED USES
You agree not to use the Service to: (a) violate any applicable laws, regulations, or third-party rights; (b) upload or transmit viruses, malware, or other malicious code; (c) interfere with or disrupt the Service or servers or networks connected to the Service; (d) attempt to gain unauthorized access to any portion of the Service or any other systems or networks; (e) use the Service for any fraudulent or unlawful purpose; (f) scrape, data mine, or use automated means to access the Service except as expressly permitted; (g) resell, redistribute, or commercialize any portion of the Service without our express written consent; (h) use the Service to engage in ticket scalping, unauthorized resale, or any activity that violates the terms of any ticketing platform or event organizer; (i) impersonate any person or entity or misrepresent your affiliation with any person or entity; or (j) engage in any activity that could damage, disable, or impair the Service.
9. THIRD-PARTY SERVICES AND TICKETS
The Service may integrate with or display information from third-party ticketing platforms (including but not limited to Ticketmaster, AXS, SeatGeek, StubHub, Eventbrite, and Live Nation), email providers, and other services (collectively, “Third-Party Platforms”). TicketPouch is not affiliated with, endorsed by, or responsible for any Third-Party Platforms. All ticket purchases, transfers, refunds, and related payment transactions are conducted exclusively through and governed by the applicable Third-Party Platform. TicketPouch does not process, handle, facilitate, or bear any responsibility for any payments, fees, or financial transactions between you and any Third-Party Platform. Your use of any Third-Party Platform is governed solely by that platform’s own terms of service, privacy policy, and payment terms.
TICKETPOUCH DOES NOT GUARANTEE THE VALIDITY, AUTHENTICITY, OR ACCEPTANCE OF ANY TICKETS STORED, DISPLAYED, OR ORGANIZED THROUGH THE SERVICE. We do not verify tickets with venues, event organizers, or ticketing platforms. The validity and acceptance of your tickets depend entirely on the original issuer and the venue or event organizer.
We are not responsible for any issues arising from tickets, including but not limited to: invalid or counterfeit tickets; denied entry to events; event cancellations, postponements, or changes; errors in ticket information; or any disputes between you and ticket sellers, venues, or event organizers.
10. INTELLECTUAL PROPERTY
The Service, including all content, features, and functionality (including but not limited to software, text, graphics, logos, and design), is owned by TicketPouch or its licensors and is protected by copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. This license does not include any right to resell or commercially use the Service; collect or use any product listings, descriptions, or prices; make derivative uses of the Service; download or copy account information; or use any data mining, robots, or similar data gathering tools.
"TicketPouch" and related logos are trademarks of TicketPouch LLC. You may not use our trademarks without our prior written consent.
11. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS.
WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, INFORMATION, OR TICKETS ACCESSED THROUGH THE SERVICE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TICKETPOUCH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless TicketPouch and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; (d) your User Content; or (e) your violation of any applicable laws or regulations.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claims.
14. DISPUTE RESOLUTION AND ARBITRATION
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Informal Resolution: Before filing any claim, you agree to attempt to resolve any dispute informally by contacting us at legal@ticketpouch.com. We will attempt to resolve the dispute informally within sixty (60) days. If the dispute is not resolved within that time, either party may proceed as set forth below.
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in the State of Delaware, unless you and we agree otherwise. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver: YOU AND TICKETPOUCH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and we agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Exceptions: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
Opt-Out: You may opt out of this arbitration agreement by sending written notice to legal@ticketpouch.com within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.
15. GOVERNING LAW
These Terms and any dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. To the extent that any lawsuit or court proceeding is permitted under these Terms, you and TicketPouch agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Wilmington, Delaware.
16. TERMINATION
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease.
You may terminate your account at any time by contacting us or through your account settings. Upon termination, you will no longer have access to any data stored in your account, and such data may be deleted. Notwithstanding the foregoing, termination of your account does not obligate TicketPouch to retrieve or delete personal information that has already been shared with or sold to third-party advertising partners prior to the date of termination, as such data may be independently held by those third parties. You may exercise your rights regarding such data directly with those third parties or as described in our Privacy Policy.
The following sections shall survive termination: Sections 7 (User Content - license provisions), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), 14 (Dispute Resolution), 15 (Governing Law), and 17 (General Provisions).
17. GENERAL PROVISIONS
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and TicketPouch regarding the Service and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
Notices: We may provide notices to you via email, posting on the Service, or other reasonable means. You may provide notices to us at the contact information below.
No Agency: Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and TicketPouch.
